1. Acceptance of Terms
By accessing or using the SEO & GEO tools and services (“Services”) provided by sole proprietorship of Avinash Tripathi under the tradename of AI Monitor (hereinafter referred as “AI Monitor”, “we,” or “us”), you agree to comply with these Terms and Conditions (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind them to these Terms. If you disagree, do not use the Services.
2. Description of Services
We provide SEO & GEO tools, including prompt or keyword research, site audits, analytics, and rank tracking. Services may evolve, and we reserve the right to modify or discontinue features without notice. Results are influenced by third-party platforms (e.g., search engines), and we disclaim liability for such outcomes.
3. User Registration and Accounts
- Registration: Provide accurate information to create an account.
- Security: Maintain confidentiality of login credentials. Sharing accounts is prohibited.
- Termination: We may suspend or terminate accounts for violations or suspicious activity.
4. Payment and Billing
- Fees: Subscription fees are outlined on our pricing page. Taxes are your responsibility.
- Renewal: Subscriptions auto-renew unless canceled before the billing cycle.
- Refunds: No refunds except as required by law.
- Price Changes: We may adjust fees with prior notice.
5. Intellectual Property
- Ownership: All software, content, and trademarks remain our property.
- License: We grant you a limited, non-exclusive, revocable license to use the Services.
- Restrictions: Reverse engineering, copying, or reselling the Services is prohibited.
6. User Content and Data
- Your Content: You retain ownership of data uploaded, but grant us a license to process it for Service delivery.
- Data Portability: You may export your data via the provided tools. However we can guarantee such portability.
7. Prohibited Activities
You agree not to:
- Use the Services for illegal purposes or to infringe third-party rights.
- Engage in spamming, hacking, or data scraping.
- Violate applicable laws (e.g., GDPR, CCPA) or export controls.
- Use the Services if under 16 (or 13 with parental consent).
8. Termination
- By You: Cancel via account settings.
- By Us: We may terminate for breaches without notice.
- Effect: Upon termination, cease use and delete downloaded materials. Unpaid fees remain due.
9. Disclaimers
Services are provided “AS IS.” We disclaim warranties, including fitness for a particular purpose. SEO & GEO results are not guaranteed.
10. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the prior 3 months.
11. Indemnification
You agree to indemnify us against claims arising from your misuse of the Services.
12. Governing Law and Disputes
- Jurisdiction: Governed by the laws of India and subject to the jurisdiction of courts in Noida, Uttar Pradesh.
- Arbitration: Disputes resolved through binding arbitration, waiving class actions.
13. Privacy and Data Protection
Your use is subject to our Privacy Policy. We comply with GDPR and CCPA; Data Processing Agreements (DPAs) are available upon request.
14. Third-Party Services
We disclaim responsibility for third-party integrations (e.g., Google Analytics). Use at your own risk.
15. Amendments
We may update these Terms with notice via email or website posting. Continued use after changes implies acceptance.
16. Miscellaneous
- Force Majeure: Not liable for delays beyond our control.
- Assignment: You may not transfer rights without consent.
